Thales Computers SA commands particular strengths in the high-end application areas in the government, aerospace, avionics and transportation sectors. This acquisition would reinforce Kontron AG in its core business and would provide Kontron AG with a significant footprint in France.
In April 2002, following comprehensive examinations and valuations by two auditors, Kontron embedded computers AG and JUMPtec Industrielle Computertechnik AG signed their merger agreement on the basis of a share exchange ratio of 2.04 to 1. More specifically, these translated as 10 'old' Kontron shares for 11 'new' Kontron shares and 7 JUMPtec shares for 5 new Kontron shares, plus an additional value adjustment of EUR 0.01739 per JUMPtec share. After respective General Meetings of Shareholders on June 19 and July 3 had both approved the deal with more than 99% of the vote, the new Kontron AG was entered in the commercial register in Mid-August and the company's shares were traded on the Frankfurt stock exchange from August 14 with the Securities Identification Number 605395. In balance sheet terms the merger was implemented in accordance with US-GAAP (purchasing accounting), i.e. JUMPtec was consolidated into Kontron's annual balance sheet as a result of the decision by Kontron's General Meeting of Shareholders on July 3.
